Mr. Furlong will not receive additional compensation for his service as a member of the Board. Mr. Furlong was not elected to the Board pursuant to any arrangement or understanding between him and any other persons, and there are no transactions between the Company and Mr. Furlong or any of his immediate family members that require disclosure pursuant to Item 404(a) of Regulation S-K. Retiring Director On June 21, 2021, George E. Sherman notified the Company of his resignation from the Board effective immediately.
