On August 12, 2021, the Board of Directors of Verizon Communications Inc. (Verizon) elected Carol B. Tomé, Chief Executive Officer of United Parcel Service, Inc., as a director, effective September 1, 2021. As a director, Ms. Tomé will participate in the compensation program applicable to all non-employee directors, which is described under the heading "Non-Employee Director Compensation" in Verizon's definitive proxy statement on Schedule 14A, filed with the Securities and Exchange Commission on March 29, 2021, except that Ms. Tomé will not receive a one-time grant of 3,000 Verizon share equivalents for new non-employee directors, because she previously received such a grant in connection with her prior service on the Board in 2020. Ms. Tomé has not yet been named to a Board committee.
