  On January 24, 2024, Daniel A. Peisert, former President and Chief Executive Officer of Assertio Holdings, Inc. (the "Company"), executed a waiver and release agreement (the "Waiver and Release Agreement") substantially in the form included with the Management Continuity Agreement between Mr. Peisert and the Company, a form of which was filed as Exhibit 10.2 to the Company's Annual Report on Form 10-K filed on March 10, 2022. Pursuant to and in connection with his execution of the Waiver and Release Agreement, Mr. Peisert resigned as a member of the Board of Directors of the Company, effective immediately.
