(the "Company") today announced that on February 13, 2024, Bruce K. Lee, the Company's President and Chief Executive Officer ("CEO"), and a member of the Board of Directors (the "Board"), informed the Board that he intends to retire by the end of 2024. Mr. Lee has agreed that he will continue to serve as the Company's CEO until his successor is chosen and assumes the role of CEO, and will assist in the transition and retire from the Company at the end of the year. Mr. Lee also indicated that concurrent with his successor assuming the role of CEO of the Company, he intends to retire from the Board. The Board has formed a search committee and will use Heidrick & Struggles, a nationally recognized executive recruiting firm, to begin a nationwide search for Mr. Lee's successor. On February 20, 2024, the Company also issued a news release regarding the above matters. A copy of the Company's news release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K. Exhibit 99.1 shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 (the "Exchange Act") or otherwise subject to the liabilities under that Section, and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933 or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
