(the "Corporation"), entered into a separation and release agreement (the "Separation Agreement") with Dennis Arriola in connection with his previously announced resignation as Chief Executive Officer.

The Separation Agreement provides that Mr. Arriola will receive a payment of $600,000, subject to customary separation and release provisions.
